These Terms govern services provided by 19 LAT (“Agency”) to the client (“Client”). Services include web development, WooCommerce/WordPress/Shopify stores, custom PHP work, and digital performance marketing, as set out in the proposal/SOW.
A written quote, proposal, or SOW defines scope, deliverables, timelines, and price. Acceptance occurs when the client signs the proposal or pays the initial invoice.
All invoices payable within 7 days or as mentioned on the invoice. Late payments may incur a 10% monthly fee. Client covers any processing fees, taxes, or duties.
Scope changes requested by Client are treated as change requests and billed separately at the agreed hourly or fixed rate.
Delivery estimates are best efforts; delays can occur due to client feedback, dependencies, or third-party approvals. Timelines resume only after the client provides required content or approvals.
Client must supply timely content, access (hosting, domain, CMS accounts), approvals, and materials. Failure to do so may delay the project.
To the maximum extent allowed by law, Agency’s liability for any claim arising out of or in connection with the Services is limited to the total fees paid by Client for the project. Agency is not liable for indirect or consequential losses.
Each party will keep confidential the other party’s confidential information and not disclose it except as required by law or with written consent.
Either party may terminate for material breach if the other party fails to cure within [30] days. On termination, Client pays for work performed and costs incurred up to the termination date.
Neither party is liable for delays caused by events beyond reasonable control.
These Terms are governed by the laws of India - Maharashtra. Disputes will be resolved in the courts of Navi Mumbai / Ragiad Panvel.
Client and Agency will comply with applicable data protection laws. Client is responsible for the site’s privacy practices for its end users.
